THE CONDUIT
MEMBERSHIP TERMS AND CONDITIONS

These Membership Terms and Conditions set out the basis on which Membership of The Conduit is offered and administered. They form part of the contract between The Conduit and each Member.
1. NAME, PROPRIETOR AND LOCATION
1.1. The club shall be known as “The Conduit” and shall operate and trade under that name.
1.2. The proprietor of The Conduit is Conduit Club Limited, company number 12976435 “The Conduit” or “we/us/our”.
1.3. The Conduit is located at 6 Langley Street, Covent Garden, London WC2H 9JA.
1.4. The Conduit reserves the right to change, add to, remove from, relocate or reconfigure any part of the Club premises, facilities, services or operating arrangements from time to time where reasonably necessary for operational, legal, safety, commercial or business reasons.
2. PURPOSE AND COMMUNITY ETHOS ACKNOWLEDGEMENT
2.1. The Conduit’s purpose is to support its community in achieving its vision of a just, prosperous and sustainable world, while also seeking to operate as a leader in sustainable and ethical hospitality.
2.2. Members acknowledge that The Conduit is a purpose-driven community intended to foster collaboration, dialogue and engagement on social, environmental and economic issues.
3. MEMBERSHIP – GENERAL
Membership is offered on the basis that Members will contribute positively to the Club environment and engage with other Members, guests, speakers and staff in a respectful, constructive and lawful way.
3.1. The Conduit offers a number of Membership categories. Each Membership category may carry different eligibility criteria, Membership Fees, benefits, access rights, usage restrictions and additional category-specific terms (Clause 6).
3.2. Membership is personal to the Member and, unless expressly agreed by The Conduit in writing, is non-transferable, non-assignable and may not be shared.
3.3. Membership does not create any ownership interest, equity, voting right, proprietary right or tenancy interest in The Conduit.
3.4. Membership is offered subject to:
(a) acceptance of the Member’s application by The Conduit;
(b) payment of all applicable Membership Fees and any applicable joining fee;
(c) compliance with these Terms; and
(d) compliance with the applicable Membership Category Terms, House Rules, Community Values, booking terms, event rules, app terms or policies notified by The Conduit from time to time.
3.5. Unless otherwise expressly stated in writing by The Conduit, Membership is a 12-month minimum term commitment.
3.6. All applicants for Membership must be 18 years of age or over at the time of application.
4. PRE-CONTRACT INFORMATION AND CONSUMER RIGHTS
4.1. Acceptance of an application for Membership by The Conduit shall constitute a binding contractual agreement between The Conduit and the Applicant on these Terms together with any applicable Membership Category Terms.
4.2. Where a Member enters into a Membership as a consumer, the Member will enjoy the statutory cancellation rights set out in clause 16.
4.3. Nothing in these Terms is intended to exclude or restrict any statutory rights of a consumer which cannot lawfully be excluded or restricted.
5. MEMBERSHIP APPLICATIONS, NOMINATIONS AND ADMISSION
5.1. The Conduit may determine the maximum number of Members at any time and may cap, pause, close or restrict applications for any Membership category at its discretion.
5.2. Any of the following may apply or be nominated for Membership:
(a) an individual aged 18 or over; and
(b) where offered by The Conduit, a corporate body, business partner or similar organisation in respect of a corporate or partner arrangement.
5.3. All applications for Membership must be submitted in the form required by The Conduit, including any Membership Application Form or Membership Nomination Form.
5.4. The Conduit, acting through the Membership team and/or the Membership Committee, shall be responsible for considering and approving applications or nominations for Membership.
5.5. The Conduit has absolute discretion as to whether to reasonably accept or reject any application or nomination for Membership.
5.6. The Conduit shall not be required to give reasons to any Applicant whose application is unsuccessful.
5.7. The Membership Committee’s decisions regarding Membership applications, nominations, admissions, renewals, suspensions, terminations and category matters shall be final, subject always to the overriding rights of The Conduit under these Terms.
5.8. Applicants must provide complete, accurate and honest information in connection with any application, nomination, renewal request, category request or continued Membership.
5.9. If The Conduit considers that an application, nomination or continued Membership has been approved or maintained on the basis of misrepresentation, omission, fraud, misleading information or withheld material information, The Conduit may:
(a) decline to approve the application;
(b) revoke approval before registration is completed;
(c) suspend Membership; or
(d) terminate Membership immediately under clause 15.
5.10. Successful Applicants may be notified in writing that their application has been successful and invited to register as a Member and complete any payment and onboarding requirements.
5.11. Membership is only confirmed once The Conduit has received the applicable first payment and completed its admission process.
6. MEMBERSHIP CATEGORIES
6.1. The Membership categories currently include, without limitation:
(a) Conduit Membership
A 12-month Membership with unlimited access to the Club during the Membership term, subject to these Terms and any booking, capacity or House Rule restrictions.
(b) Not-for-Profit Membership (NFP)
A 12-month Membership intended for individuals who, to The Conduit’s satisfaction, work full-time or predominantly for:
(i) a not-for-profit organisation;
(ii) the public sector;
(iii) a Community Interest Company (CIC); or
(iv) a social enterprise which pays in line with the public sector,
with unlimited access to the Club during the Membership term, subject to these Terms and any booking, capacity or House Rule restrictions.
(c) Out-Of-Town membership (OOT)
A 12-month Membership applicable to Members whose primary residential address is outside of The City of London, with access to the Club for 24 days per Membership year, subject to these Terms.
(d) Under 30 Membership (U30)
A 12-month Membership applicable to Members under 30 years of age at the date of application or renewal, with identification required and unlimited access to the Club during the Membership term, subject to these Terms.
(e) Lifetime Membership
A non-transferable Membership category lasting 30 years and paid in full upfront. Benefits are set out in the Member’s Lifetime Membership documentation and are available upon request. Lifetime Members remain subject to these Terms, including the provisions relating to conduct, suspension and termination.
6.2. The Conduit may introduce, withdraw, amend, rename or retire Membership categories, rates, benefits or eligibility criteria at any time, provided that any such changes to an existing Member’s contractual position will be dealt with in accordance with these Terms and applicable law.
6.3. The Conduit may require documentary evidence of eligibility for any Membership category, including but not limited to proof of age, address, employment status, charity or CIC status, or other relevant qualification criteria.
6.4. Where a Member no longer qualifies for a Membership category, the Member must notify the Membership team promptly.
6.5. The Conduit may reclassify a Member into a different Membership category on renewal, or during the Membership term where the original category was granted on the basis of inaccurate, incomplete or outdated information.
6.6. Historic or legacy Membership categories or rates may continue to apply only where expressly confirmed by The Conduit in writing.
7. MEMBERSHIP BENEFITS, ACCESS AND GUESTS
7.1. Membership benefits and club access vary by Membership category and may include access to Club spaces, events, programming, networking opportunities, food and beverage privileges, use of the app or member portal, and other services made available by The Conduit from time to time.
7.2. Membership benefits are subject to:
(a) availability;
(b) capacity constraints;
(c) booking requirements;
(d) operating hours;
(e) temporary closures;
(f) event-specific rules; and
(g) the House Rules and Community Values.
7.3. The Conduit does not guarantee uninterrupted availability of any specific room, floor, facility, event, service, amenity, speaker, programme or experience.
7.4. Members are entitled to bring up to two guests into The Conduit at any one time, unless otherwise permitted by The Conduit or allowed under a particular booking or event.
7.5. Where a Member has booked a table, event space, meeting room or similar facility, the Member may bring such number of guests as the relevant booking allows.
7.6. Guests of Members are not permitted to be in The Conduit without the Member being present, unless expressly permitted by The Conduit.
7.7. Members are responsible for:
(a) the conduct and behaviour of their guests;
(b) ensuring guests comply with these Terms, the House Rules and all lawful instructions from staff;
(c) any charges, tabs, booking fees, cancellation fees, losses or unpaid sums incurred by their guests; and
(d) any damage caused by their guests.
7.8. The Conduit may refuse entry to any guest or require any guest to leave where it reasonably considers this necessary for operational, security, licensing, legal, safety or community reasons.
7.9. Members must not use The Conduit’s premises, address or any part of the Club as a registered office, business address, trading address or correspondence address for any company, organisation or business activity without the prior written consent of The Conduit.
8. MEMBER CONDUCT AND COMMUNITY STANDARDS
8.1. All admissions to Membership are subject to the Member’s acceptance of and continuing compliance with these Terms.
8.2. Members agree to act in a manner consistent with that purpose and not to engage in conduct which undermines the mission, integrity, reputation or community environment of The Conduit.
8.3. While at The Conduit, and in relation to The Conduit’s events, programming, app, portal, communications and community, a Member and each of their guests must comply at all times with:
(a) these Terms;
(b) the House Rules;
(c) the Community Values;
(d) all applicable laws, regulations and licensing requirements; and
(e) any reasonable instructions given by The Conduit’s staff, management or security personnel.
8.4. Members acknowledge that participation in events, programming, networking activities and discussions forms part of the Membership experience and agree to engage respectfully with other Members, guests, speakers and staff.
8.5. Conduct by a Member or their guest, whether inside or outside The Conduit premises, may be treated as a breach of these Terms where, in the reasonable opinion of The Conduit, the conduct:
(a) is detrimental to the character, reputation, interests or operation of The Conduit;
(b) puts at risk the safety, well-being, comfort or dignity of any Member, guest or staff member;
(c) is inconsistent with the Club’s community standards or purpose; or
(d) renders the Member unsuitable to associate with Members or to continue as a Member.
9. USE OF THE MEMBER PORTAL, APP AND COMMUNICATION CHANNELS
9.1. As a Member, or as a guest using any Member access arrangements, you agree not to use the Member portal, app or any communication channel connected with The Conduit:
(a) for any unlawful purpose;
(b) to impersonate, or attempt to impersonate, any person or entity, including any employee, representative, Member or guest of The Conduit;
(c) to upload, post, send, transmit or link to any material that is unlawful, fraudulent, defamatory, libellous, obscene, pornographic, sexually explicit, violent, abusive, hateful, threatening, harassing, discriminatory or otherwise objectionable;
(d) to upload, post, send, transmit or link to any material that infringes intellectual property rights, confidentiality obligations, privacy rights or any other rights of The Conduit or any third party;
(e) to send advertisements, solicitations, chain letters, pyramid schemes, surveys, contests, investment opportunities or other unsolicited commercial communications;
(f) to share non-public information about any company or individual without authority;
(g) to include images or likenesses of persons under 18 without proper consent and lawful basis;
(h) to harvest, scrape, collect or mine information about other users, Members, guests or staff; or
(i) in any way that interferes with, harms, misuses or compromises the operation, security or reputation of The Conduit’s systems or community.
9.2. The Conduit may suspend, restrict or remove a Member’s app, portal or communication privileges at any time where reasonably necessary for operational, legal, security, disciplinary or data-protection reasons.
10. CONFIDENTIALITY, PRIVACY AND NON-DISCLOSURE
10.1. Members must respect the confidentiality and privacy of other Members, guests, speakers, staff and the wider community.
10.2. Members shall not, without appropriate consent:
(a) record, photograph, film or livestream discussions, presentations, interactions or events at The Conduit;
(b) distribute, disclose, publish or report on private conversations occurring at The Conduit; or
(c) share or circulate any Member list, attendee list, contact list or personal information relating to other Members or guests.
10.3. Where an event or discussion is designated as being under Chatham House Rule or any equivalent confidentiality condition, Members must comply fully with that condition.
10.4. The Conduit operates a strict no disclosing expectation in respect of private conversations and interactions at the Club unless express prior written consent has been obtained from The Conduit and, where applicable, the relevant individuals concerned.
10.5. Members who are journalists, bloggers, influencers, broadcasters, content creators or other media professionals must not conduct interviews, reporting or content capture at The Conduit without prior written permission.
10.6. Any Member directory or contact information provided by The Conduit may only be used for genuine relationship-building and networking purposes and must not be used for unsolicited marketing, fundraising, sales or commercial solicitation.
11. MEMBERSHIP FEES, JOINING FEES AND PAYMENT
11.1. The Conduit shall ensure that Membership Fees, joining fees and mandatory charges are clearly communicated before a Membership agreement is entered into.
11.2. The Conduit shall determine Membership Fees from time to time at its discretion.
11.3. Members shall be notified of any increase in Membership Fees 60 days before renewal of their Membership. Any such increase shall only become effective upon the next renewal date.
11.4. Membership Fees are payable in advance in the payment frequency applicable to the relevant Membership category and chosen or approved by The Conduit, which may include annual, quarterly or monthly payment arrangements.
11.5. Payment structures may include:
(a) Annual: one Membership Fee payment in full per Membership year;
(b) Quarterly: four Membership Fee payments per Membership year;
(c) Monthly: twelve Membership Fee payments per Membership year.
11.6. A Member may select an available payment frequency at the point of application, subject to The Conduit’s approval and the terms applicable to the relevant Membership category.
11.7. Membership shall only be confirmed once The Conduit has received the first payment due.
11.8. Continued Membership is conditional on payment of Membership Fees and any other sums due in full and on time.
11.9. Membership Fees may be paid by the payment methods accepted by The Conduit from time to time, including direct debit and credit or debit card. The Conduit may refuse cash payments.
11.10. Members authorise The Conduit to collect Membership Fees and any other amounts owed to The Conduit using the nominated payment method or mandate provided by the Member.
11.11. Membership Fees and joining fees are non-refundable, including where a Member uses the Club less than anticipated or not at all, except for:
(a) refunds mentioned in clause 16 (Cancellation during cooling off period);
(b) refunds mentioned under clause 23.1 (Material Variations); and
(c) any mandatory refunds under applicable laws.
11.12. Food and beverage charges, service charges, event charges, room bookings, private hire fees, cancellation fees and other charges are separate from Membership Fees unless expressly stated otherwise.
12. DEFAULT, LATE PAYMENT AND DEBT RECOVERY
12.1. The Conduit may apply charges for late payments, failed collections, chargebacks or administrative reprocessing costs, provided any such charges are reasonable and lawful.
12.2. If any Membership Fee or other sum due remains unpaid after its due date, The Conduit may:
(a) suspend the Member’s access to the Club, app, portal, events and benefits;
(b) refuse entry;
(c) cancel future bookings; and/or
(d) withhold renewal processing,
(e) charge late payment interest of 8% per annum above the base rate of the Bank of England;
12.3. If Membership Fees remain unpaid for more than 30 days after the due date, The Conduit may continue the suspension until payment is received in full.
12.4. Where a Member defaults on payment obligations, The Conduit may take reasonable steps to recover the outstanding sums, including by using debt recovery agents or legal proceedings.
12.5. The Conduit may recover reasonable enforcement, recovery or administrative costs incurred as a result of the Member’s default, to the extent permitted by law
12.6. Where a Member is on a fixed-term Membership payment plan and defaults, The Conduit reserves the right, where lawful and fair in the circumstances, to demand payment of the outstanding balance due in respect of the Membership term.
12.7. The exercise of any rights under this clause does not prevent The Conduit from also exercising its rights under clause 15.
13. MEMBERSHIP CARDS, APP ACCESS AND VERIFICATION
13.1. Upon admission, a Member may be provided with a digital Membership card and/or Member access credentials via The Conduit app or other system used by The Conduit.
13.2. Members must present their Membership card or otherwise verify Membership status upon entry or when requested by staff.
13.3. The Conduit may refuse entry where Membership cannot be verified.
13.4. A Member must not allow any other person to use their Membership card, app account, credentials, pass or access rights.
13.5. Sharing Membership credentials or facilitating unauthorised access by a non-member may result in disciplinary action, including suspension or termination of Membership.
13.6. Members are responsible for keeping login details, passes and device access secure.
14. MEMBERSHIP TERM, AUTO-RENEWAL, NON-RENEWAL AND CANCELLATION
14.1. The Membership term shall be 12 months from the date on which The Conduit approves the Member’s registration as a Member, unless otherwise stated in writing (the “Membership Registration Date”). If the Member acts as a consumer, they enjoy a 14-day cooling off period from the renewal date during which they can cancel their Membership in accordance with clause 16.
14.2. Subject to this clause 14, Membership shall automatically renew for successive further periods of 12 months on each anniversary of the Membership Registration Date unless either:
(a) the Member gives written notice in accordance with clause 14.5; or
(b) The Conduit elects not to renew under clause 14.7.
14.3. The Conduit shall provide reminder notices before any automatic renewal. Those notices will include:
(a) the renewal payment amount;
(b) the renewal date;
(c) any changes from the previous price or terms; and
(d) instructions on how to cancel or opt out of renewal.
14.4. Reminder notices may be sent by email, app notification, portal notice or any other contact method used by The Conduit for Membership administration.
14.5. If a Member does not wish to renew, the Member must notify The Conduit via email, at membership@theconduit.com, at least 30 days before the renewal date.
14.6. If The Conduit does not receive valid notice within that period, the Membership may renew automatically in accordance with these Terms.
14.7. Notwithstanding a Member’s wish to renew, The Conduit may in its discretion:
(a) decline to renew a Membership;
(b) propose a change in the Member’s Membership category;
(c) require updated eligibility information before renewal; or
(d) renew subject to revised category-specific terms, where lawful and notified in advance.
14.8. Other then set out in clause 11.11, Members are not entitled to cancel a Membership part-way through the fixed Membership term.
14.9. A Member who wishes to cancel during a statutory cooling-off period may do so in accordance with clause 16.
14.10. Where a former Member wishes to rejoin after cancellation or lapse of Membership, The Conduit may require payment of the applicable joining fee and may require a fresh application.
15. SUSPENSION, EXPULSION AND TERMINATION
15.1. The Conduit may, at its reasonable discretion and with immediate effect, suspend, expel or terminate a Member’s Membership or access rights where it considers such action necessary or appropriate. This includes, without limitation, where:
(a) the Member is in arrears in respect of Membership Fees or any other sums due;
(b) the Member or their guest is alleged to have breached these Terms, the House Rules or any applicable policies;
(c) there is a complaint, investigation or safeguarding concern involving the Member or their guest;
(d) immediate action is reasonably necessary for legal, regulatory, licensing, security, operational, community or safety reasons;
(e) The Conduit reasonably considers suspension necessary pending investigation or decision;
(f) the Member commits a serious or repeated breach of these Terms;
(g) the Member engages in serious misconduct;
(h) the Member acts dishonestly, fraudulently or unlawfully;
(i) the Member materially harms or risks harming the safety, reputation, integrity or operation of The Conduit; or
(j) the Member has obtained or maintained Membership by fraud, misrepresentation or concealment of material information.
Where appropriate in the circumstances, the Member shall be given an opportunity to put their case in writing before a final decision is made.
15.2. For the avoidance of doubt, serious breaches may include, without limitation, violence, harassment, discrimination, illegal drug activity, theft, deliberate property damage, serious abuse of staff, misuse of confidential information, or unauthorised use of Membership privileges.
15.3. Any suspension, expulsion or termination of Membership shall not affect:
(i) any accrued rights of The Conduit;
(ii) any sums already due and payable by the Member; or
(iii) the continuing effect of any provisions which by their nature are intended to survive termination.
15.4. For the avoidance of doubt, serious breaches may include, without limitation, violence, harassment, discriminatory conduct, illegal drug activity, theft, deliberate property damage, serious abuse of staff, serious misuse of confidential information, or serious misuse of Membership access rights.
15.5. The Conduit may refuse admission to a suspended or terminated Member and may deactivate their app, portal or access credentials.
15.6. Suspension or termination of Membership does not affect:
(a) any accrued rights of The Conduit;
(b) any sums already due; or
(c) the continuing effect of any provisions which by their nature are intended to survive termination.
16. COOLING-OFF RIGHTS
16.1. Where a Member has entered into the Membership as a consumer, the Member has a statutory right to cancel the Membership within 14 days starting on the day after:
(a) the Membership contract is first entered into; or
(b) the Membership renews automatically.
16.2. The Member may exercise this right without giving any reason and by using any cancellation method made available by The Conduit for membership administration, including electronic methods.
16.3. If a Member cancels during the applicable cooling-off period, The Conduit shall refund all sums paid by the Member in accordance with applicable law, subject only to any lawful deduction for:
(a) Membership services already supplied at the Member’s express request during the cooling-off period; or
(b) any other proportionate deduction expressly permitted under applicable law.
16.4. Where the Member has used Club facilities, attended events, made bookings, consumed services or otherwise begun to use the Membership during the cooling-off period, The Conduit may make a proportionate deduction from any refund, where and to the extent permitted by law.
16.5. Nothing in this clause is intended to exclude or limit any more favourable cancellation or refund right which The Conduit may choose to offer in a particular case
17. SABBATICAL AND LEAVE
17.1. In the case of maternity leave or paternity leave, a Member may request a sabbatical of up to six months by written request.
17.2. During a sabbatical that was approved by the Conduit:
(a) Membership Fees will be suspended;
(b) the Member may not use the Club or Membership facilities unless The Conduit expressly agrees otherwise in writing; and
(c) the Membership term and renewal date will be adjusted by The Conduit to reflect the approved sabbatical period.
17.3. The grant of a sabbatical is at the sole discretion of the Membership Committee or the Membership team acting with delegated authority.
17.4. Save where The Conduit expressly agrees otherwise, a Member may only be granted one sabbatical in any five-year period.
17.5. The Conduit may require supporting information before approving a sabbatical request.
18. MEMBERSHIP CATEGORY CHANGES
18.1. Unless The Conduit agrees otherwise, Membership categories cannot be changed during the fixed 12-month Membership term.
18.2. A Member may request a change of Membership category to take effect on renewal.
18.3. A request to change Membership category must be made in writing to the Membership team at least 30 days before the relevant renewal date.
18.4. The Conduit has sole discretion whether to approve or decline any requested category change.
18.5. The Conduit may require updated information or evidence of eligibility before approving a category change.
18.6. Any change in a Member’s circumstances which affects the Member’s entitlement to a particular Membership category must be notified to the Membership team immediately.
19. MANAGEMENT AND MEMBERSHIP COMMITTEE
19.1. The Conduit retains overall control and responsibility for the conduct and operation of The Conduit Club.
19.2. The Conduit shall make all decisions on all matters except those specifically delegated to the Membership Committee, the Membership team or other authorised personnel.
19.3. The Conduit may delegate responsibilities and powers to committees, teams or individuals within The Conduit as it considers appropriate.
19.4. The Conduit shall appoint the Membership Committee from time to time. The Membership Committee shall comprise such number of members of The Conduit’s management or personnel as the Conduit determines, and ordinarily not fewer than three.
19.5. No Member shall have any entitlement to sit on, nominate or vote for the Membership Committee unless expressly determined by the Conduit.
19.6. Decisions of the Membership Committee shall be made on a majority basis.
19.7. The Membership Committee shall meet as often as The Conduit’s business requires.
19.8. All resolutions or decisions of the Membership Committee shall remain subject to the Conduit’s overriding authority, and the Conduit may veto, vary or reverse any such decision.
19.9. The Conduit’s decision on all matters relating to Membership shall be final, and The Conduit shall not be obliged to provide explanations for such decisions unless required by law.
20. HEALTH, SAFETY AND USE OF FACILITIES
20.1. Members confirm that they are in a suitable physical condition to use any facilities or participate in any activities made available by The Conduit.
20.2. Members must inform The Conduit of any medical or other condition that may materially affect the safe use of facilities where disclosure is reasonably necessary for safety reasons.
20.3. Members must use all Club premises, furniture, equipment, facilities and services safely and responsibly and in accordance with any posted notices, staff instructions and health and safety requirements.
20.4. The Conduit may close or restrict access to any area, facility or service for cleaning, repair, maintenance, safety, staffing, private hire, events or operational reasons.
21. EVENTS, PROGRAMMING AND BOOKINGS
21.1. Participation in events, talks, programming and other activities hosted or facilitated by The Conduit may be subject to:
(a) capacity limits;
(b) pre-booking requirements;
(c) cancellation terms;
(d) age restrictions;
(e) event-specific rules; and
(f) additional charges.
21.2. The Conduit may alter, postpone, cancel or substitute any event, programme, speaker, schedule, format, menu or venue.
21.3. Views expressed by speakers, panellists, partners, collaborators or participants at events do not necessarily represent the views of The Conduit.
21.4. Members must comply with any booking conditions applicable to tables, meeting rooms, event places, private spaces, booths or other reserved facilities.
21.5. Repeated failure to honour bookings, excessive cancellations, no-shows or misuse of booking privileges may result in restrictions on future booking rights.
22. LIABILITY
22.1. Nothing in these Terms limits or excludes The Conduit’s liability for:
(a) death or personal injury caused by its negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability which cannot lawfully be limited or excluded.
22.2. Subject to clause 22.1, The Conduit’s total liability to a Member in connection with Membership, the Club or these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed 125% of the total annual Membership Fees paid by that Member in the 12 months preceding the event giving rise to the claim.
22.3. Members are responsible for their own personal property and belongings, and for those of their guests, while at The Conduit.
22.4. The Conduit shall not be responsible for any loss, theft or damage to personal property or belongings brought onto the premises, except to the extent caused by The Conduit’s negligence or other liability which cannot lawfully be excluded.
22.5. Members use the Club premises and facilities at their own risk except where loss or damage arises from The Conduit’s negligence or other breach of duty.
22.6. Members shall be responsible for any loss or damage caused to The Conduit’s property, facilities, equipment or furnishings by the Member or their guests and must reimburse The Conduit for the reasonable cost of repair or replacement.
22.7. The Conduit shall not be liable for:
(a) any indirect loss or damage; or
(b) any loss of profits, business, customers, reputation, data, wasted expenditure or anticipated savings.
23. VARIATIONS TO TERMS, SERVICES AND RULES
23.1. The Conduit may amend these Terms, the House Rules, the Community Values, Membership benefits, operating policies, app terms or ancillary rules from time to time by giving Members not less than 30 days’ notice, unless a shorter period is required for legal, safety or regulatory reasons. If the change removes a Membership Benefit, increases the Membership Fees or otherwise adversely affects the Member, the Member shall have the right to terminate their Membership within 30 days after having received notification of the change. If the Member exercises this termination right, The Conduit will provide a pro rata refund of any remaining Membership Fees paid in advance. By way of example, if a Member cancels their Membership under this clause 23.2 at the end of the tenth month of their 12-month term, the Member will receive a refund of 2/12 of their Membership Fee.
23.2. The Conduit may modify, suspend, replace or remove facilities, services, amenities, spaces, events or programmes where reasonably necessary for operational, legal, safety or business reasons.
24. FORCE MAJEURE
24.1. The Conduit shall not be liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond its reasonable control, including natural disasters, flood, fire, epidemic, pandemic, industrial action, government restrictions, acts of terrorism, utility failures, systems failures, supply chain disruption or interruption of services.
24.2. Where such an event occurs, The Conduit may suspend, limit or adapt the services or facilities provided under Membership for the duration of the event.
25. DATA PRIVACY
25.1. The Conduit shall handle personal information provided by a Member or prospective Member in accordance with The Conduit’s Privacy Policy as updated from time to time.
25.2. Members must ensure that the personal data they provide to The Conduit is accurate and up to date.
25.3. Where a Member provides The Conduit with personal data relating to a guest or other third party, the Member warrants that they have done so lawfully and with appropriate authority.
26. ENTIRE AGREEMENT
26.1. These Terms, together with the documents referred to in them, constitute the entire agreement between The Conduit and the Member in relation to their subject matter.
26.2. They supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between The Conduit and the Member, whether written or oral, relating to that subject matter.
26.3. Nothing in this clause limits or excludes liability for fraud or fraudulent misrepresentation.
27. SEVERANCE
27.1. If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable.
27.2. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted.
27.3. Any modification or deletion under this clause shall not affect the validity and enforceability of the remainder of these Terms.
28. NOTICES
28.1. 1 Any notice given under or in connection with these Terms shall be in writing and shall be:
(a) delivered by hand or by pre-paid first-class post or other next working day delivery service to The Conduit at its registered or notified address, or to the Member at the postal address held on their Membership record; or
(b) sent by email to The Conduit at membership@theconduit.com or to the Member at the email address held on their Membership record.
28.2. A notice shall be deemed to have been received:
(a) if delivered by hand, at the time the notice is left at the proper address;
(b) if sent by pre-paid first-class post or next working day delivery service, at 9.00 am on the second Business Day after posting; and
(c) if sent by email, at the time of transmission, provided no delivery failure notification is received.
28.3. This clause does not apply to the service of proceedings or other documents in any legal action or formal dispute resolution procedure.
29. DISPUTES
29.1. The parties shall endeavour in good faith to resolve any dispute arising out of or in connection with these Terms through discussion in the first instance.
29.2. Operational, Membership and conduct decisions made by the Conduit or Membership Committee in accordance with these Terms shall remain subject to the rights expressly stated in these Terms and to any mandatory legal rights of the Member.
29.3. Nothing in this clause prevents either party from seeking urgent injunctive or other appropriate relief through the courts.
30. GOVERNING LAW AND JURISDICTION
30.1. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the law of England and Wales.
30.2. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
31. DEFINITIONS
In these Terms, the following definitions apply:
“Applicant” means a person applying or nominated for Membership.
“Community Values” means The Conduit’s community values, standards and principles with which Members are required to comply.
“House Rules” means the Club’s house rules, policies and usage standards set out in Schedule 1
“Member” means a member of The Conduit.
“Membership” means being admitted as a Member of The Conduit and the contractual relationship arising from that status.
“Membership Application Form” and “Membership Nomination Form” mean the forms or application processes used to apply or nominate an individual for Membership.
“Membership Benefits” means the benefits, rights and privileges which apply to a Member in relation to their Membership category.
“Membership Category” means the category of Membership held by a Member.
“Membership Committee” means the committee appointed by the Proprietor to manage Membership matters relating to The Conduit.
“Membership Fees” means the fees payable by a Member for their Membership, reflecting the Member’s Membership category and payment arrangement.
“Membership Registration Date” has the meaning given in clause 14.1.
SCHEDULE 1
HOUSE RULES
These House Rules form part of the Membership Terms and Conditions. The Conduit may amend them from time to time in accordance with Clause 23.
1. Behaviour
1.1. Without limitation, the following conduct may result in refusal of entry, expulsion from the premises, suspension of access and/or termination of Membership:
(a) violent, abusive, threatening, intimidating or aggressive conduct;
(b) discrimination, harassment or bullying, including on the basis of religion, race, ethnicity, nationality, sexual orientation, gender, age or disability;
(c) serious rudeness, abuse or bad language directed towards Members, guests or staff;
(d) conduct likely to prejudice the Club’s premises licence or other regulatory permissions;
(e) serious intoxication, insubordination or unsafe behaviour under the influence of alcohol or any substance;
(f) use, possession, ingestion, supply or dealing of illegal drugs or other unlawful substances;
(g) deliberate, reckless or negligent damage to Club property, fixtures, fittings, equipment or furnishings;
(h) theft, dishonesty, fraud or other criminal or quasi-criminal conduct;
(i) any behaviour likely to disturb neighbouring residents or businesses;
(j) unauthorised filming, reporting, interviewing or publication relating to Members, guests, events or the Club;
(k) repeated breach of staff instructions, House Rules or booking rules; and
(l) conduct likely to damage the reputation or goodwill of The Conduit or its Members.
1.2. The Conduit may investigate any complaint, report, allegation or incident involving a Member or guest in such manner as it considers appropriate.
1.3. Where conduct concerns safeguarding, harassment, safety, equality, licensing, criminality or serious reputational harm, The Conduit may take immediate interim action, including suspension pending investigation.
2. Fair Usage
2.1. Members should use Club spaces fairly and considerately.
2.2. Members should not leave belongings unattended in a way that prevents other Members from using seating or tables for a significant period.
2.3. Staff reserve the right to move unattended items to a safe place if they are left for more than 30 minutes.
2.4. Groups should not excessively monopolise multiple tables or shared spaces.
3. No Pitching
3.1. The Conduit is intended to be a safe space for curious and authentic people to connect and explore ideas.
3.2. In order to maintain this sense of community and to respect Members’ time and privacy, Members must comply with The Conduit’s no pitching policy.
3.3. Members must not use the Club primarily as a venue for unsolicited fundraising, deal sourcing, sales pitching, investment solicitation or similar activity unless expressly invited or authorised by The Conduit.
4. Confidentiality and Chatham House Conditions
4.1. Members must respect the confidentiality of events, speakers, attendees and Member interactions.
4.2. Where events are stated to be under Chatham House Rule, Members must comply with that rule.
4.3. Members must not share Member lists or attendee lists with third parties.
4.4. The Conduit’s no reporting policy applies unless explicit prior written consent has been given.
5. Conduct Reporting
5.1. The Conduit does not tolerate discrimination, harassment or bullying.
5.2. Members are encouraged to report inappropriate behaviour promptly using the reporting process notified by The Conduit from time to time, including via the Members’ app where available.
5.3. The Conduit may investigate complaints and respond within such timeframe as is appropriate in the circumstances.
6. Social Media
6.1. Members may share content on social media provided they do so responsibly and with respect for the privacy and dignity of others.
6.2. Members must not post images or information relating to other Members or their guests without prior consent.
6.3. Harmful, demeaning or intrusive content focused on The Conduit community is prohibited.
7. Dress Code
7.1. Members and guests must be appropriately dressed at all times while on the premises.
7.2. The Conduit may refuse entry where attire is inappropriate for the relevant space, service or event.
8. Children
8.1. Children up to and including the age of 17 may attend as guests of a Member, accompanied by an adult Member at all times.
8.2. Unless otherwise permitted by The Conduit, children may remain in the building only until 6.00 pm.
8.3. Children and babies may attend certain Conduit events where permitted, but Members must ensure they do not unreasonably disrupt other attendees.
8.4. The Conduit reserves the right to refuse entry where the Club environment, event format or operational conditions are not suitable for children.
9. Guests
9.1. Guests are only permitted in the Club in the company of the Member who invited them, unless The Conduit expressly agrees otherwise.
9.2. A Member may ordinarily bring up to two guests per day, subject to any different rule applying to a booking, event or Membership category.
9.3. Guest access to events is subject to event-specific terms, demand and capacity.
10. Dogs
10.1. Well-behaved dogs are permitted in the building unless The Conduit designates a space or event as dog-free.
10.2. Dogs must be kept on a lead at all times and must not sit on furniture.
10.3. If a dog is disturbing other Members, guests or staff, The Conduit may require the owner to remove the dog from the premises.
11. Mobile Phones and Laptops
11.1. Laptops are permitted only in areas designated by The Conduit for laptop use.
11.2. The 5th floor is a laptop-free zone during service times.
11.3. From 3.00 pm on Fridays, laptops are not permitted on the 3rd floor.
11.4. Mobile phone use is permitted throughout the building unless otherwise notified.
11.5. Speakerphone use is strictly prohibited.
11.6. Members must keep calls, meetings, media and device use at a volume that does not disturb others.
11.7. If noise levels become disruptive, The Conduit may require the Member to lower the volume, relocate or cease the activity.
11.8. Members must not obstruct shared spaces or prevent others from using the space as intended.
11.9. Telephone booths or similar spaces may be available on the 3rd floor and may be bookable via the app.
12. Smoking and Vaping
12.1. The Conduit is a smoke-free zone internally.
12.2. Smoking and vaping are permitted only in such external area or areas as The Conduit designates from time to time.
13. Illegal Substances
13.1. Illegal substances are not permitted anywhere within The Conduit.
13.2. This includes using, ingesting, possessing, supplying or dealing such substances.
13.3. Any Member or guest found in breach of this rule may be removed immediately and may have their Membership terminated.
14. Do Not Disturb / Neighbourhood Respect
14.1. Members and guests must respect the rights and comfort of fellow Members, guests, staff and neighbouring occupiers.
14.2. Members and guests must not create unreasonable noise, nuisance, disorder or disturbance.
14.3. The Conduit reserves the right to refuse service of alcohol and to require any person to leave the premises.
15. Food and Drink
15.1. Members and guests must not bring outside food or beverages into The Conduit unless expressly permitted by The Conduit or required for medical or similar legitimate reasons.
15.2. The Conduit may refuse entry or require disposal/removal of outside food or drink brought in breach of this rule.
16. Gratuities
16.1. A discretionary service charge of 13.5% may be added to relevant bills.
16.2. Members remain free to leave an additional gratuity if they wish.
17. Lost Property
17.1. If property is lost in the building, Members should contact Reception promptly.
17.2. Items found at The Conduit may be retained for up to one month before being donated, disposed of or otherwise dealt with.
17.3. The Conduit may make reasonable efforts to identify and contact the owner of lost property but does not guarantee this.
17.4. The Conduit accepts no responsibility for personal property except where liability cannot lawfully be excluded.
18. Discounts and Concessionary Arrangements
18.1. Any concessionary or discounted arrangements, including for fellows, under-30s, students or other groups, shall apply only where offered by The Conduit and subject to the applicable eligibility criteria and terms.
18.2. The Conduit may request documentary evidence of eligibility at any time.
19. MEDIA, RECORDING, PHOTOGRAPHY AND SOCIAL MEDIA
19.1. The Conduit may designate certain events or spaces as no-photography or restricted-photography areas.
19.2. Photography, filming, recording, streaming or interviews within The Conduit premises may not take place without prior permission from The Conduit. No professional photo shoot, video shoot, filming session or similar activity may take place without prior written consent from The Conduit.
19.3. Members must obtain the consent of any individual before photographing or recording them, unless clearly permitted by law and by The Conduit.
19.4. Members must respect the privacy of others when taking photographs in the space. Members must respect the privacy of fellow Members and guests when using social media and must not post photographs, videos, identifying information or commentary about other Members or their guests without their prior consent.
19.5. Harmful, demeaning, misleading or intrusive content focused on The Conduit community is not acceptable and may be treated as misconduct.
19.6. Where The Conduit arranges photography or filming at an event, it may notify attendees on the day and may provide an opportunity to opt out where reasonably practicable.
